Two companies having trouble, as the mobile content ecosystem is going through major changes, have merged: mobile search firm UpSnap (Nasdaq: UPSN.OB) is going to merge with Mobile Greetings, the mobile content delivery firm. The two together will focus on direct-to-consumer advertising based services.

The combined company, for Q2 this year, would have generated unaudited pro-forma revenues of approximately $946K. UpSnap, traded over-the-counter, will conduct a private placement of $3 million of its securities. The placement proceeds would be used for working capital of the combined company, certain Mobile Greetings obligations and transaction expenses. More in release.
